Commonwealth Group Shareholders Approve Merger with AD
Wayne, PA – The Commonwealth Group (TCG) announced that its voting members formally and overwhelmingly approved their Board’s proposal to merge with AD. The merger will be completed in the coming weeks and will be operationally effective on January 1, 2026.
The AD and TCG Boards of Directors jointly announced their intent to merge in August.
The merger represents a significant milestone for the U.S. Plumbing, Heating, Cooling, and Piping (PHCP) industry, bringing together 349 independently owned PHCP distributors across the U.S. with total company sales of over $40 billion. The combined AD PHCP Business Unit will include AD Divisions for Plumbing, HVAC, PVF, Decorative Brands, and Waterworks.
Mike Lepley, President of TCG, and incoming President of AD’s PHCP Business Unit shared, “We are encouraged by the incredibly strong support that the merger received and the opportunities it creates for members, suppliers, and the entire independent channel. The feedback from both TCG and AD communities has been overwhelmingly positive, and we are eager to bring our combined strengths to benefit all stakeholders.”
Bill Weisberg, Chairman and CEO of AD, commented, “All of us at AD are hugely grateful to Mike and his team, as well as the TCG Board and TCG’s shareholders for their vote of confidence and support. These are great people and companies, and we’re excited about working with them, adopting best practices and growing together.”
